This Pro Partner Agreement ("Agreement") is between Retrify Holdings LLC, a California limited liability company doing business as Handy Andy ("Handy Andy", "we", "us"), and the business that accepts it ("Pro", "you").

How you accept. You accept by checking the box that says you agree to this Agreement (version PPA-2026-10-v3, including Schedule A, the Lead Credit Policy and Section 17 on arbitration), and then tapping Join Handy Andy Pros.

  • We record the version, date, time, IP address and device information.
  • We email you a copy.
  • If you accept for a business, you confirm you're at least 18 and authorized to bind it.

1. Definitions

  • "Platform": the Handy Andy pro website at handy-andy.app/pros, the Handy Andy app, and the texts and emails we send.
  • "Homeowner": a person who uses the Platform to ask for a pro to contact them about a repair. They may be an owner, tenant or property manager.
  • "Request": a Homeowner's request for a pro to contact them about a specific repair or improvement.
  • "Job Packet": what we show you about a Request before you accept. It includes:
    • the description, photos and video (without sound);
    • Handy Andy's automated diagnosis;
    • likely parts;
    • timing;
    • the ZIP code;
    • the Price Check.

It doesn't include the Homeowner's name, phone, email or street address.

  • "Price Check": a price range produced by our software. It's an informational estimate, not a quote, bid, offer or price recommendation (Section 3.4).
  • "Lead Offer": a message offering you the chance to accept a Request.
  • "Accepted Lead": a Lead Offer you accept, where you're the first pro to accept, the charge succeeds (or the first-lead waiver applies), and we give you the Homeowner's contact details.
  • "Lead Fee": the fee for an Accepted Lead under Schedule A.
  • "Job": work you agree directly with a Homeowner to perform.
  • "Trades" and "Service Area": the kinds of work and the locations in your profile.

2. What Handy Andy is and isn't

2.1 Referral service. Handy Andy is a referral service. We help Homeowners describe repairs, and we pass Requests to independent pros.

2.2 What we don't do. We are not a contractor. We don't:

  • perform, bid on, quote, negotiate, schedule, supervise or guarantee any Job;
  • solicit or negotiate contracts on your behalf or the Homeowner's;
  • set your prices;
  • collect payment for Jobs.

Any agreement for a Job is directly between you and the Homeowner, and the Homeowner pays you directly.

2.3 What a lead is. A lead is a Request from a Homeowner who used the Platform and asked for a pro to contact them.

  • Homeowners may still be comparing options, including on other services, and may not hire anyone.
  • Up to 3 pros may see the same Request at once. Only the pro who accepts first receives the Homeowner's contact details.

2.4 No promises. We don't promise, and nothing we say should be read as promising:

  • any number of Lead Offers or Accepted Leads;
  • any rate at which Accepted Leads turn into Jobs;
  • any revenue;
  • that a Homeowner will respond, hire you or pay you.

Any statistics we share will state their period and source, and we'll keep the data behind them.

3. Your business, and your relationship with us

3.1 You're an independent business and our customer. You buy a lead service from us.

  • We don't pay you anything.
  • You are not our employee, agent, partner, franchisee or joint venturer.
  • You deliver services under your own business name.

3.2 You control your work. You alone decide:

  • which Lead Offers to accept;
  • whether to take a Job;
  • your prices, methods, schedule, hours, tools, materials, workers and subcontractors.

You may use any other platforms or marketing. Declining or ignoring a Lead Offer is always free, and we never reduce, pause or deprioritize your offers because you declined or ignored offers.

3.3 Your legal responsibilities. You're responsible for:

  • permits, inspections and code compliance;
  • your workers' wages, taxes and workers' compensation;
  • your own taxes;
  • every contract term and disclosure the law requires for a Job. In California that includes B&P §7159 (written contracts over $500), §7159.5 (down payment of $1,000 or 10%, whichever is less), §7159.10 (service-and-repair contracts), cancellation notices under Civil Code §1689.5 et seq. (3 business days; 5 if the buyer is 65 or older; 7 for disaster repairs), subcontractor disclosures, and lead-safe (RRP) rules for homes built before 1978.

3.4 The Price Check. The Price Check is an automated, informational estimate. It isn't a quote, bid, offer or price recommendation, and it doesn't bind you or the Homeowner.

  • You set your own prices.
  • Handy Andy never requires, rewards or penalizes pricing inside or outside the range.
  • Handy Andy doesn't use your quotes or final prices to set the Price Check other pros see.

4. Eligibility and ongoing requirements

4.1 Licenses. You must hold, and keep active, a California Contractors State License Board (CSLB) license in a classification that covers each Trade you select. You may accept only Requests your classification covers.

  • A B (General Building) license covers single-trade work only as Business & Professions Code §7057 allows.
  • You may not let anyone use your license, or use another person's license number (B&P §7027.3).

4.2 Other credentials. If you select these Trades, you must hold the credential and give us its number:

  • appliance repair: Bureau of Household Goods and Services registration;
  • locks and lockouts: BSIS locksmith license;
  • refrigerant work: EPA Section 608 certification;
  • lead-disturbing work in homes built before 1978: EPA RRP firm certification.

Handy Andy doesn't offer structural pest control Requests.

4.3 Workers' compensation. Carry workers' compensation insurance whenever the law requires it. That includes C-8, C-20, C-22, C-39 and D-49 licensees even with no employees (B&P §7125). A workers' comp lapse suspends your license by law, and your account will pause.

4.4 Liability insurance. Carry commercial general liability insurance of at least $1,000,000 per occurrence and $2,000,000 aggregate, and upload a current certificate.

  • We may confirm it with your insurer or agent.
  • We ask, but don't require, that you add Retrify Holdings LLC dba Handy Andy as an additional insured (ISO CG 20 26 or equivalent).

4.5 Verification and identity.

  • You authorize us to check your license, insurance and business information against public and third-party sources.
  • We'll verify that you're a person listed on the license, by sending a code to the phone or address in the CSLB record or a similar method.
  • A separate disclosure and authorization applies if you choose a background check.

4.6 Certifications we keep. You certify that you hold:

  • any local business license or business tax registration your work requires;
  • every state license or registration your Trades require.

You'll give us the numbers, and we keep these certifications for at least 3 years (Labor Code §2777).

4.7 Keep it current. Tell us within 5 business days if any license, registration or insurance policy lapses, is suspended or changes. We re-check license status before sending Lead Offers, and may pause your account automatically when something can't be verified.

4.8 One account, accurate profile.

  • One account per business.
  • Your business name, license numbers, Trades, Service Area, photos and descriptions must be accurate.
  • You authorize us to show your license number and classification with your profile.

5. Payment method

5.1 Card on file. To receive Lead Offers, add a payment method through our processor (currently Stripe). By saving it, you agree that:

"Retrify Holdings LLC (Handy Andy) may charge this card for Lead Fees under Schedule A when I accept a Lead Offer, plus any applicable taxes, until I remove the card or close my account."

We don't store your full card number.

5.2 Failed payment. If a charge fails when you accept, the acceptance doesn't complete, the Lead Offer may go to another pro, and your account may pause until you update your card.

5.3 One charge per Request. Only one pro is charged per Request round. If we ever charge you for a Request another pro won, we'll refund it automatically.

6. How Lead Offers work

6.1 Up to 3 pros at a time. We may send a Lead Offer for the same Request to up to 3 pros at the same time. Each Lead Offer shows the Lead Fee (or "$0: first lead free") before you accept.

6.2 First to accept. The first pro to accept (with a successful charge or the waiver) receives the Accepted Lead. Everyone else sees that the Request was taken, and isn't charged.

6.3 Offer window. A Lead Offer expires after the time shown on it (currently 60 minutes during business hours). With the Homeowner's OK, we may offer the Request to other pros.

6.4 After you accept. We show you the Homeowner's name, phone and email, and their street address if they provided it.

  • Aim to contact the Homeowner within 2 business hours.
  • Tell them honestly how and when you can help.
  • The Homeowner decides whether to hire you.

7. Lead Fees

7.1 Fee. Each Accepted Lead has a Lead Fee under Schedule A, charged when you accept and before the Homeowner's contact details are shown. There's no membership fee, subscription or long-term commitment.

7.2 First Accepted Lead free. The Lead Fee is waived for your business's first Accepted Lead.

  • It's once per business.
  • It's tied to your business name, phone number, license number and payment card, and can't be claimed again through a new account.

7.3 When the fee is earned. A Lead Fee is earned when you accept, whether or not the Homeowner hires you. The only exceptions are a credit under the Lead Credit Policy, or a billing error under 7.6.

7.4 Lead credits. You may claim a credit for certain invalid leads under the Lead Credit Policy (part of this Agreement) within 14 days of accepting.

7.5 Fee changes. We'll give at least 30 days' notice of changes to Schedule A, by email and on the pro website. Changes apply only to Lead Offers sent after they take effect. You may close your account instead.

7.6 Billing errors. Tell us about a billing error (for example, a double charge, the wrong amount, or a charge for a Request you didn't win) within 60 days of the charge at pros@handyandy.app. Please contact us before starting a chargeback.

7.7 Taxes. Lead Fees don't include taxes. California doesn't currently tax them. If a tax applies later, we'll show it before you accept.

8. Standards for working with Homeowners

8.1 Honest dealing. Describe your services, licensing, insurance, pricing and availability truthfully. No bait-and-switch, high-pressure tactics or misleading claims.

8.2 Explaining your quote (voluntary). If your quote is outside the Price Check range, we encourage you to explain the main reasons to the Homeowner (for example, scope, materials or site conditions). This is optional. It has no effect on your Lead Offers or ranking, and you never need to match the range.

8.3 Keep appointments. Keep appointments you agree to, or tell the Homeowner promptly if you can't.

8.4 Non-discrimination. Don't refuse, limit or change service based on race, color, religion, sex, gender identity, sexual orientation, national origin, ancestry, disability, medical condition, age, marital status, familial status or any other status protected by law, including under the California Unruh Civil Rights Act.

8.5 Safety and conduct. Follow safety laws and good trade practice. No harassment, threats or unlawful conduct.

8.6 Emergencies and disasters.

  • Follow price-gouging limits (Penal Code §396) wherever an emergency is declared.
  • Follow disaster-repair contract rules (for example, 7-day cancellation rights).
  • Don't accept disaster-damage repair Requests unless you're licensed for the work.

8.7 Insurance claims.

  • Don't act as a public adjuster or negotiate a Homeowner's insurance claim.
  • Don't offer to pay, waive or rebate an insurance deductible.
  • Don't inflate an invoice.

8.8 Reviews.

  • Don't post, buy, or pressure anyone into fake or incentivized reviews.
  • Don't offer anything in exchange for a positive review.
  • Don't threaten Homeowners over reviews.

8.9 Independent branding.

  • Present yourself as your own business.
  • Don't tell Homeowners you work for Handy Andy, or use Handy Andy's name or logo on uniforms, vehicles, invoices or contracts.
  • You may say you received the Request "through Handy Andy".

8.10 What we may act on. We may reduce, pause or remove your Lead Offers only for:

  • failing to contact Homeowners after accepting;
  • no-shows;
  • verified complaints about conduct, safety, honesty, discrimination or work quality;
  • low ratings;
  • license, registration or insurance problems;
  • breach of this Agreement.

We never act based on declined or ignored offers, or on your prices. A person reviews any pause or removal before it takes effect, and we'll tell you why.

9. Homeowner information

9.1 Limited purpose. You may use a Homeowner's information only to respond to that Request and to quote, perform, invoice and support the resulting Job. You won't:

  • sell, rent, share or disclose it;
  • add it to marketing lists;
  • use it for any other purpose.

9.2 How you contact Homeowners.

  • Contact a Homeowner only about their Request, by calls and texts you make by hand from your own phone, and email.
  • Unless they hire you, only within 30 business days of accepting.
  • No autodialers, prerecorded or artificial or AI voices, or bulk texting.
  • Call or text only between 8 am and 9 pm Homeowner local time, unless they ask otherwise.
  • If a Homeowner asks you to stop contacting them, in any words, stop right away.
  • Follow the TCPA, California's do-not-call law (B&P §17590 et seq.) and CAN-SPAM.

9.3 Job Packets.

  • Keep Job Packets confidential.
  • Don't download, copy or share Job Packet photos or videos.
  • Don't use them to identify or contact a Homeowner without an Accepted Lead.
  • Delete any Job Packet content you saved when the Lead Offer ends without you winning it.

9.4 Security, breaches and deletion.

  • Keep Homeowner information reasonably secure.
  • Tell us within 72 hours at legal@handyandy.app if it's lost, stolen or accessed without permission.
  • Delete it when you no longer need it for the Job or your legal records, or sooner if the Homeowner asks and the law allows.

9.5 Privacy-law terms.

  • We disclose Homeowner information to you only for the limited and specified purpose in 9.1.
  • You'll comply with applicable privacy laws, including the California Consumer Privacy Act if it applies, and give the information the same level of protection those laws require.
  • You'll tell us if you can no longer meet these obligations.
  • We may take reasonable steps to make sure you use the information consistently with this Agreement, and to stop and fix any unauthorized use, including by suspending your account and requiring deletion.

9.6 Homeowners may enforce Section 9. Homeowners whose information you receive are intended third-party beneficiaries of this Section 9.

10. No working around the Platform

10.1 No workarounds. You won't:

  • use a Job Packet to identify or contact a Homeowner without an Accepted Lead;
  • share Lead Offers or Job Packets outside your business;
  • open more than one account;
  • give false information to get the first-lead waiver or credits;
  • scrape, automate access to, or reverse engineer the Platform.

10.2 Your customers after the first Job. Once you've paid for an Accepted Lead (or used your waiver), the customer relationship is yours. You owe Handy Andy no further fees for later work for that Homeowner.

10.3 Remedies. If you break 10.1, we may:

  • charge the Lead Fee that would have applied, which we both agree is a reasonable estimate of our loss;
  • reverse the waiver or credits involved;
  • suspend or remove your account.

11. Suspension and removal

We may pause or remove your account under Section 8.10, if the law requires it, or for credible safety, fraud, discrimination or dishonesty complaints.

  • We'll tell you the reason unless the law or someone's safety prevents it.
  • You may appeal within 30 days at pros@handyandy.app, and a person will review it.
  • Lead Fees for Accepted Leads stay payable.

12. Your content and our brand

  • You give us a non-exclusive, royalty-free license to display your business name, logo, photos, license information, profile text and ratings on the Platform and in marketing that promotes the Platform.
  • The license ends when your account closes, except for copies already distributed.
  • You may not use Handy Andy's name or logo without our written permission, except to say you receive Requests "through Handy Andy".

13. Disclaimers

  • The Platform, Job Packets, Price Checks and automated diagnoses are provided "as is". Diagnoses and Price Checks are generated by software and may be wrong or incomplete.
  • Use your own professional judgment on every Job.
  • To the fullest extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

14. Indemnification

14.1 By you. You'll defend, indemnify and hold harmless Handy Andy and its members, officers, employees and agents from third-party claims, losses and costs (including reasonable attorneys' fees) to the extent they arise from:

  • your Jobs, services, acts or omissions, or those of your workers or subcontractors;
  • your breach of this Agreement;
  • your violation of law, including licensing, contracting, consumer-protection, privacy and communications laws;
  • your misuse of Homeowner information.

This doesn't cover claims caused by Handy Andy's sole negligence or willful misconduct.

14.2 By us. We'll defend and indemnify you against third-party claims that the Platform itself, as we provide it, infringes someone's intellectual property.

15. Limitation of liability

  • No indirect damages. To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or lost profits.
  • Cap. Handy Andy's total liability under this Agreement is limited to the greater of the Lead Fees you paid in the 12 months before the claim, or $100.
  • Exceptions. These limits don't apply to your obligations under Sections 9, 10 and 14, or to either party's fraud or willful misconduct.

16. Term and ending the Agreement

  • This Agreement runs month to month.
  • Either of us may end it at any time with notice. You can close your account on the pro website. There is no cancellation fee.
  • Sections 7 (for fees already earned), 9, 10, 13, 14, 15, 17 and 19 survive.

17. Resolving disputes

17.1 Talk first. Before filing a claim, email legal@handyandy.app (or write to PO Box 154, Windsor, CA 95492) describing the dispute. We'll do the same. We'll both try in good faith to resolve it within 30 days, and filing deadlines are paused during that time.

17.2 Binding individual arbitration.

  • Any unresolved dispute goes to binding individual arbitration administered by the AAA under its Commercial Arbitration Rules, seated in Sonoma County, California, with video hearings allowed.
  • For an individual claim you bring, you pay no more than $250 of the AAA's fees, and Handy Andy pays the rest.
  • The Federal Arbitration Act governs this section.

17.3 Exceptions. Either of us may:

  • bring an individual claim in small claims court;
  • go to court for an injunction to stop misuse of Homeowner information or of intellectual property.

Claims covered by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act may go to court if the claimant chooses.

17.4 No class actions. Claims may be brought only individually. If this waiver is unenforceable for a claim, that claim goes to court after the arbitration of the others.

17.5 Many similar claims. If 25 or more similar demands are filed by coordinated counsel, they're administered in batches under the AAA's mass arbitration procedures. No result binds anyone who isn't a party to it.

17.6 Opt-out. You may opt out of arbitration by emailing us within 30 days of first accepting this Agreement.

18. Changes to this Agreement

  • For material changes, we'll give at least 30 days' notice by email and on the pro website, and ask you to accept the new version before your next Lead Offer.
  • If you don't agree, you may close your account before the change applies.
  • Changes don't apply to disputes that arose before the change. Changes to Section 17 come with a new 30-day opt-out.

19. General terms

  • Governing law: California, except where Section 17 says the Federal Arbitration Act applies.
  • Electronic communications and signatures: you consent to receive notices and to sign electronically.
  • Notices:
    • to you: at your account email;
    • to us: at legal@handyandy.app, with a copy to PO Box 154, Windsor, CA 95492.
  • Assignment: you may not assign this Agreement without our consent. We may assign it in a merger, acquisition or sale of assets.
  • Entire agreement: this Agreement, Schedule A and the Lead Credit Policy are the entire agreement between us.
  • Other terms: if any provision is unenforceable, the rest stays in effect (except as Section 17.4 says). Not enforcing a provision isn't a waiver. Neither of us is liable for delays caused by events beyond reasonable control.
  • No other third-party beneficiaries: only as Section 9.6 says.
